1. Scope & Applicability

These Terms and Conditions (“Terms”) govern all services, products, and solutions provided by Khyber AI LLC (“Provider”, “we”, “us”) to business customers (“Client”, “you”).

These Terms apply exclusively to businesses (B2B). Consumer protection laws applicable to private individuals do not apply.

Any conflicting, deviating, or supplementary terms of the Client shall not apply unless expressly agreed in writing by the Provider.

2. Services Provided

Khyber AI provides artificial intelligence–based automation and content solutions, including but not limited to:

  • AI Phone Assistants (handling calls, routing, and appointment booking)

  • AI Chatbots (website, messaging platforms, and social media channels)

  • Automated lead generation systems

  • AI avatar and virtual spokesperson video production

  • AI influencer clones and virtual models

  • AI-powered video generation for reels, advertisements, and marketing content

The exact scope, configuration, and limitations of the services shall be defined individually in an offer, proposal, or written agreement.

3. No Guarantee of Results

The Provider delivers technical, creative, and advisory services only.

Khyber AI makes no guarantees or warranties, express or implied, regarding:

  • business success or profitability,

  • revenue, leads, or conversions,

  • appointment show-up rates,

  • audience growth or marketing performance,

  • accuracy, reliability, or completeness of AI-generated content.

All AI outputs are probabilistic in nature and may contain errors, inaccuracies, or unintended results.

4. Pricing & Payment

Unless otherwise agreed in writing:

  • A one-time setup or implementation fee applies.

  • Usage-based fees (e.g. per-minute, per-interaction, or volume-based) may apply and are billed separately.

  • All prices are net prices, excluding applicable taxes, duties, or governmental fees.

Failure to pay may result in suspension or termination of services without prior notice.

5. No Refund Policy

All payments are final.

Fees already paid, including setup, implementation, creative work, usage-based fees, or ongoing services, are strictly non-refundable, regardless of:

  • actual usage,

  • business or marketing performance,

  • dissatisfaction with results,

  • early termination by the Client.

Refunds are granted only if explicitly agreed in writing by the Provider.

6. Client Responsibilities & Legal Compliance

The Client is solely responsible for:

  • providing lawful, accurate, and complete data, content, and instructions,

  • ensuring that all provided materials do not violate third-party rights,

  • complying with all applicable laws, regulations, and industry standards in their jurisdiction.

This includes, but is not limited to:

  • data protection and privacy laws (e.g. GDPR, HIPAA, local privacy laws),

  • telecommunications and call-recording regulations,

  • advertising, marketing, and consumer protection laws,

  • medical, healthcare, financial, or other industry-specific regulations.

Khyber AI does not provide legal, regulatory, or compliance advice.

7. Data Protection Responsibility of the Client

The Client acknowledges that the Provider does not and cannot guarantee full compliance with all data protection or privacy regulations applicable in the Client’s jurisdiction.

The Client acts as the data controller and is solely responsible for:

  • determining the legality of data processing,

  • obtaining all necessary consents from data subjects,

  • providing legally required privacy notices,

  • assessing cross-border data transfers,

  • evaluating the suitability of technical infrastructure and third-party systems used in connection with the services.

The Provider shall not be liable for any data protection violations, regulatory fines, penalties, claims, or damages arising from:

  • the Client’s use of the services,

  • the Client’s failure to comply with applicable data protection laws,

  • third-party systems, platforms, or infrastructure used in connection with the services.

8. AI Content, Representations & Avatar Usage

The Client is solely responsible for the lawful use of AI-generated content, including but not limited to:

  • AI avatars,

  • virtual influencers or models,

  • voice clones,

  • generated videos, images, or marketing materials.

The Client must ensure that all necessary rights, permissions, and consents (e.g. personality rights, likeness rights, voice rights, branding rights) are obtained.

The Provider assumes no liability for misuse, misrepresentation, or legal violations arising from the use of AI-generated content.

9. Third-Party Services

The Provider may rely on third-party platforms, APIs, hosting providers, or infrastructure.

Khyber AI is not responsible or liable for:

  • availability, uptime, or performance of third-party services,

  • data handling practices of third parties,

  • changes, limitations, or discontinuation by third-party providers.

10. Intellectual Property

All intellectual property rights in software, AI models, workflows, prompts, configurations, and documentation remain the exclusive property of Khyber AI unless expressly agreed otherwise.

The Client receives a limited, non-exclusive, non-transferable, revocable license to use the delivered services for internal business purposes only.

Reverse engineering, resale, sublicensing, or unauthorized reproduction is strictly prohibited.

11. Limitation of Liability

To the maximum extent permitted by law:

  • The Provider shall be liable only for damages caused by intent or gross negligence.

  • Liability for indirect damages, loss of profit, revenue loss, reputational damage, business interruption, or data loss is excluded.

  • Total liability is limited to the amount paid by the Client for the specific service giving rise to the claim.

12. Confidentiality

Both parties agree to keep all confidential, proprietary, or non-public information strictly confidential unless disclosure is required by law.

13. Termination

Either party may terminate the contractual relationship for cause with immediate effect.

Termination does not entitle the Client to any refund of fees already paid.

14. Governing Law & Jurisdiction

These Terms shall be governed by the laws of the United States of America, excluding conflict-of-law rules.

Exclusive jurisdiction shall lie with the competent courts of the state in which the Provider is legally registered, unless otherwise agreed in writing.

15. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
